Documentaci\u00f3n necesaria"},"content":{"rendered":"<p style=\"text-align: justify;\">Para vender un inmueble perteneciente a una sociedad mercantil, independientemente de las escrituras de Sociedad, poderes y titularidad del inmueble, necesitas <strong>el acta de titularidad real<\/strong> y el <strong>Acta de la Junta General Universal<\/strong> aprobando la venta del inmueble en el caso que el valor de la trasmisi\u00f3n supere el <strong>25% de los activos esenciales<\/strong> del \u00faltimo balance aprobado. <!--more--><\/p>\n<p style=\"text-align: justify;\">El <strong>acta de titularidad real<\/strong> es el documento notarial que acredita que los intervinientes son los titulares de los bienes o derechos relacionados en la operaci\u00f3n y que no se opera en nombre de terceras personas. Esto afecta a las sociedades mercantiles desde que se aprob\u00f3 la <a href=\"https:\/\/www.boe.es\/buscar\/act.php?id=BOE-A-2010-6737\">Ley 10\/2010, de 28 de abril<\/a>, de prevenci\u00f3n del blanqueo de capitales y de la financiaci\u00f3n del terrorismo.<\/p>\n<p style=\"text-align: justify;\">El <strong>titular real<\/strong> ser\u00e1 aquel que tiene una participaci\u00f3n en la sociedad superior al 25%. En este documento notarial se detallan los titulares de las participaciones, las participaciones que representan y su %. Si la sociedad es unipersonal no es necesario disponer de este documento.<\/p>\n<p style=\"text-align: justify;\">Si no existe persona f\u00edsica que posea o controle, directa o indirectamente, un porcentaje superior al 25 por ciento del capital o de los derechos de voto de la persona jur\u00eddica, no existir\u00e1 titular real, se considera que el control de la sociedad es ejercido por los administradores (<a href=\"https:\/\/www.boe.es\/diario_boe\/txt.php?id=BOE-A-2014-4742\">art\u00edculo 8 Real Decreto 3042014 5 mayo<\/a>).<\/p>\n<p style=\"text-align: justify;\">En el caso de que la venta del inmueble supere el 25% de los <strong>activos esenciales<\/strong> del \u00faltimo balance aprobado deber\u00e1 est\u00e1 autorizada su venta por la junta de socios mediante <strong>Acta de la Junta General Universal<\/strong>, no bastando la firma del Administrador.<\/p>\n<p style=\"text-align: justify;\">Puede ser que un activo no supere el l\u00edmite del 25% pero tambi\u00e9n se considerar\u00e1 esencial cuando sea el \u00fanico que genere ingresos.<\/p>\n<p style=\"text-align: justify;\">En el caso que el activo en venta no se considere esencial, bastar\u00e1 que se manifieste en la escritura de compra-venta, no siendo necesario el acta de la junta de socios autorizando su venta.<\/p>\n<p style=\"text-align: justify;\">*Antes de sacar a la venta un local comercial, es muy importante que conozcas de antemano los detalle del proceso que vas a iniciar.
